Terms of Service

Welcome to EventFlow. These Terms of Service ("Terms") govern your use of our virtual and hybrid event production services. By engaging EventFlow for event services, you agree to these Terms.
1. Service Description
EventFlow provides professional virtual and hybrid event production services for enterprise corporate teams. Our services include but are not limited to:
- Virtual event production and management
- Hybrid event coordination and technical support
- Event marketing and promotional services
- Event technology solutions and platform integration
- Pre-event planning and consultation
- Live event technical direction and support
- Post-event analytics and reporting
The specific scope of services for each engagement will be defined in a separate Statement of Work or Service Agreement between EventFlow and the Client.
2. User Responsibilities
As a client of EventFlow, you agree to the following responsibilities:
2.1 Accurate Information
You must provide accurate, complete, and current information when engaging our services, including event details, attendee information, and technical requirements.
2.2 Timely Communication
You agree to respond to communications from EventFlow in a timely manner, particularly regarding time-sensitive decisions related to your event production.
2.3 Content Compliance
You are responsible for ensuring that all content, materials, and presentations used in your event comply with applicable laws and do not infringe on third-party rights.
2.4 Payment Obligations
You agree to pay all fees associated with your event services as outlined in your Statement of Work or Service Agreement, in accordance with the payment terms specified therein.
2.5 Technical Requirements
For virtual and hybrid events, you are responsible for ensuring that your team and speakers have adequate internet connectivity and hardware to participate in the event as planned.
3. Intellectual Property
3.1 Client Content
You retain all ownership rights to content, logos, trademarks, and materials you provide to EventFlow for use in your event. You grant EventFlow a limited license to use such materials solely for the purpose of delivering your event services.
3.2 EventFlow Materials
EventFlow retains ownership of all proprietary tools, templates, processes, and methodologies used in delivering our services. These materials remain the exclusive property of EventFlow.
3.3 Event Recordings
Unless otherwise specified in your Service Agreement, you own all recordings of your events produced by EventFlow. EventFlow may request permission to use excerpts for promotional purposes, but such use requires your written consent.
3.4 Portfolio Rights
EventFlow may reference the fact that we worked with your organization and provide general descriptions of the engagement for portfolio and marketing purposes, unless you notify us in writing that you prefer confidentiality.
4. Limitation of Liability
4.1 Service Delivery
While EventFlow strives to deliver exceptional event experiences, we cannot guarantee uninterrupted or error-free service delivery. Technical issues beyond our reasonable control, including but not limited to internet outages, platform failures, or force majeure events, may affect event delivery.
4.2 Limitation Cap
To the maximum extent permitted by law, EventFlow's total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific event or engagement giving rise to such claim.
4.3 Exclusion of Damages
EventFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business opportunities, or data, regardless of whether such damages were foreseeable.
4.4 Third-Party Services
EventFlow is not responsible for the performance, availability, or failures of third-party platforms, services, or technologies that may be used in conjunction with your event, including video conferencing platforms, streaming services, or attendee engagement tools.
5. Cancellation and Refunds
Cancellation terms and refund policies are specified in your individual Statement of Work or Service Agreement. Generally:
- Cancellations more than 30 days before the event may receive a partial refund minus deposits and incurred expenses
- Cancellations within 30 days of the event are generally non-refundable due to committed resources
- Event postponements may be accommodated based on availability and rescheduling fees
6. Confidentiality
EventFlow agrees to maintain the confidentiality of any proprietary or sensitive information shared with us during the course of our engagement. This includes business strategies, attendee data, and internal communications related to your event.
7. Modifications to Terms
EventFlow reserves the right to modify these Terms at any time. Material changes will be communicated via email to existing clients. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
